1. General
   
   
1. The Gprop Systems software, and any third party software, documentation, interfaces, content, fonts, and any data accompanying this License whether in read only memory, on any other media or in any other form (collectively the “Gprop Systems Software”) are licensed, not sold, to you by Gprop Systems Sdn Bhd (“Gprop”) for use only under the terms of this License. Gprop and/or Gprop’s licensors retain ownership of the Apple Software itself and reserve all rights not expressly granted to you.
   
   
2. Gprop, at its discretion, may make available future upgrades or updates to the Gprop Software. The terms of this License will govern any software upgrades or updates provided by Gprop to the original Gprop Software, unless such upgrade or update is accompanied by a separate license in which case you agree that the terms of that license will govern such upgrade or update.
   
   
2. Permitted License Uses and Restrictions.
   
   
1. License. Subject to the terms and conditions of this License, you are granted a limited, non-transferable, non-exclusive license to install and use one copy of the Gprop Software. You may not rent, lease, lend, sell, redistribute, or sublicense the Gprop Software.
   
   
2. Content. The Gprop Software may be used to reproduce materials so long as such use is limited to reproduction of non-copyrighted materials, materials in which you own the copyright, or materials you are authorized or legally permitted to reproduce. Except as otherwise provided in this License, this License does not grant you any rights to use such content nor does it guarantee that such content will continue to be available to you.
   
   
3. No Reverse Engineering. You may not, and you agree not to or enable others to, copy (except as expressly permitted by this License), decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, modify, or create derivative works of the Gprop Software, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of open source components that may be included with the Gprop Software).
   
   
4. Compliance with Laws. You agree to use the Gprop Software and the services in compliance with all applicable laws, including local laws of the country or region in which you reside or in which you download or use the Gprop Software and services.
   
   
5. Automatic Updates. If you choose to allow automatic app updates, your device will periodically check for updates and upgrades to the Gprop Software and, if an update or upgrade is available, the update or upgrade will automatically download and install onto your device and, if applicable, your peripheral devices. You can turn off the automatic app updates altogether at any time by changing the automatic app updates settings found within the settings of Google Play.
   
   
6. That you agreed not to use or permit to use the Gprop Software, including by uploading, emailing, posting, publishing or otherwise transmitting any material, data and information, for any purpose that may:
   
   
1. menace or harass any person or cause damage or injury to any person or property,
2. involve the publication of any material that is false, defamatory, harassing or obscene,
3. violate privacy rights or promote bigotry, racism, hatred or harm,
4. constitute unsolicited bulk e-mail, “junk mail”, “spam” or chain letters;
5. constitute an infringement of intellectual property or other proprietary rights, or
6. otherwise violate applicable laws, ordinances or regulations. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness and ownership of all of Your Content. You agree to defend and indemnify Gprop Systems against any claim arising out of a violation of your obligations under this section.
7. you agreed, on any violation of the above mentioned obligations, that your access and usage of the Gprop Systems Software may be revoked, suspended, and deactivated.
   
   
3. Consent to Use of Data.
   
1. PERSONAL DATA. You hereby give your consent to that, for the purposes of providing the use of the Gprop Software services to you (an any other subusers you designate, personal information, including but not limited to, the name, mobile number of any Mobile Device in which to use and/or access the Gprop Software and/or other related and relevant information may be gathered, retained and processed by Gprop or its affiliates. Gprop Systems Sdn Bhd will retain such personal data in its databases during the period that the Gprop Software has been installed in any Mobile Device used by you, to access the Gprop Software and for a minimum period of five (5) years from the date that you discontinue use and access the Gprop Software. You may, at any time, request that Gprop Systems disclose any of your registered personal data with Gprop Systems.
   
   You agree that Gprop Systems Sdn Bhd and its subsidiaries and agents may collect, maintain, transmit, process, and use your data outside your home country for the purposes of communication with another user registered with Gprop Software.
   
   
2. PRIVACY POLICY. At all times your information will be treated in accordance with Gprop’s Privacy Policy, which is incorporated by reference into this License and can be viewed at: http://www.Gpropsystems.com/privacy/.
   
   
4. Term and Termination.
   
   This License is effective until terminated. Your rights under this License will terminate automatically or otherwise cease to be effective without notice from Gprop Software if you fail to comply with any term(s) of this License. Upon the termination of this License, you shall cease all use of the Gprop Software and destroy all copies, full or partial, of the Gprop Software. Sections 3, 4, 5, 6, 7, 9, and 10 of this License shall survive any such termination.
   
   
5. Disclaimer of Warranties.
   
   
1. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW, USE OF THE GPROP SOFTWARE AND ANY SERVICES PERFORMED BY OR ACCESSED THROUGH THE GPROP SOFTWARE IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU.
   
   
2. WARRANTY DISCLAIMER AND LIMITATION AND LIABILITY.
   
   The Gprop Software are provided on an “as is” and on as “an available” basis, without any representation, endorsement or warranty of any kind, including but not limited to, implied warranties of fitness for a particular purposes, merchantability, title, satisfactory quality or performance, accessibility, compatibility, security, accuracy and or non-infringement, you acknowledge that the Gprop Software have not been developed to meet your individual requirements and it is your responsibility to ensure that the facilities functions and/or features of the Gprop Software meet your requirements. Gprop Systems expressly disclaims any warranties of any kind with respect to the accuracy, validity or completeness of any information for features available through the Gprop Software, or the quality of consistency of the Gprop Software. Gprop Systems does not guarantee that any of all parts of the Gprop Software will be (i) free of errors, viruses, bugs, malware or other defects. Or (ii)that the any information displayed or distributed through the Gprop Software or in the documentation will be accurate or complete. Or (iii) that any defects of the Gprop Software will be corrected. Gprop Systems shall not be liable for failing to perform any of it’s obligations which may result form any condition beyond its reasonable control, including but not limited to domain name server issues, labour strikes or shortages riots, insurrection, fire, flood or other acts of god, communication for power failures, lost or unavailable network connections, incomplete or delayed computer transmissions, or internet disturbances. You acknowledge and agree that the entire risk arising out of your use of the Gprop Software remains solely and absolutely with you and you shall have no recourse whatsoever against Gprop Systems and/ or its affiliates or subsidiaries.
   
   
3. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE GPROP SOFTWARE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND GPROP AND GPROP’S LICENSORS (COLLECTIVELY REFERRED TO AS “GPROP” FOR THE PURPOSES OF SECTIONS 5 AND 6) HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE GPROP SOFTWARE AND SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON- INFRINGEMENT OF THIRD PARTY RIGHTS.
   
   
4. GPROP DOES NOT WARRANT AGAINST INTERFERENCE WITH YOUR ENJOYMENT OF THE GPROP SOFTWARE AND SERVICES, THAT THE FUNCTIONS CONTAINED IN OR SERVICES PERFORMED OR PROVIDED BY THE GPROP SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT THE OPERATION OF THE GPROP SOFTWARE AND SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ANY SERVICE WILL CONTINUE TO BE MADE AVAILABLE, THAT DEFECTS IN THE GPROP SOFTWARE OR SERVICES WILL BE CORRECTED, OR THAT THE GPROP SOFTWARE WILL BE COMPATIBLE OR WORK WITH ANY THIRD PARTY SOFTWARE, APPLICATIONS, OR THIRD PARTY SERVICES. INSTALLATION OF THIS SOFTWARE MAY AFFECT THE USABILITY OF THIRD PARTY SOFTWARE, APPLICATIONS, OR THIRD PARTY SERVICES.
   
   
5. YOU FURTHER ACKNOWLEDGE THAT THE GPROP SOFTWARE AND SERVICES ARE NOT INTENDED OR SUITABLE FOR USE IN SITUATIONS OR ENVIRONMENTS WHERE THE FAILURE OR TIME DELAYS OF, OR ERRORS OR INACCURACIES IN THE CONTENT, DATA, OR INFORMATION PROVIDED BY, THE GPROP SOFTWARE OR SERVICES COULD LEAD TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE, INCLUDING WITHOUT LIMITATION THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, LIFE SUPPORT, OR WEAPONS SYSTEMS.
   
   
6. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY GPROP OR AN GPROP AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE GPROP SOFTWARE OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU.
   
   
6. Limitation of Liability.
   
   TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL GPROP BE LIABLE FOR PERSONAL INJURY, OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, CORRUPTION OR LOSS OF DATA, FAILURE TO TRANSMIT OR RECEIVE ANY DATA OR INFORMATION, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE GPROP SOFTWARE AND SERVICES OR ANY THIRD PARTY SOFTWARE OR APPLICATIONS IN CONJUNCTION WITH THE GPROP SOFTWARE OR SERVICES, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF GPROP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Gprop’s total liability to you for all damages exceed the amount of fifty dollars (USD50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
   
   
7. Controlling Law and Severability.
   
   This License will be governed by and construed in accordance with the laws of Malaysia.
   
   
8. Complete Agreement; Governing Language.
   
   This License constitutes the entire agreement between you and Gprop relating to the Gprop Software, and supersedes all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this License will be binding unless in writing and signed by Gprop. Any translation of this License is done for local requirements and in the event of a dispute between the English and any non-English versions, the English version of this License shall govern, to the extent not prohibited by local law in your jurisdiction.
   
   
9. INTERNET DISRUPTIONS.
   
   The Gprop Software may be subject to limitations, delays, and other networks problems inherent in the use of the internet and electronic communications including the mobile device used by you to access the Gprop Software being faulty, not connected, out of range, switched off or not functioning, Gprop Systems is not responsible for any delays, delivery failures, damages or losses resulting from such problems.
   
   
10. INDEMNIFICATION.
    
    To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless, Gprop Systems and its affiliates, officers, directors, employees, agents, business partners and licensors against any and all claims, actions, suits, losses, proceedings, and all related liabilities, damages, settlements, penalties, costs or expenses (including, but not limited to reasonable attorneys’ fees and other dispute resolution expenses) incurred by Gprop Systems arising from or incurred as a result of you use of the Gprop Software or any breach of any terms of this EULA by you.
    
    
11. OWNERSHIP.
    
    Gprop Systems retains all right, title and interest in and to the Gprop Software including, but not limited to all content, visual interfaces, interactive features, information, graphics, design, compilation, computer code and all other elements of the graaab services (the IPR materials). The Gprop Systems materials are protected by copy right, trade dress, patent, trade mark loss of Malaysia, Singapore and any other relevant jurisdictions, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. All IPR materials, including intellectual property rights day in and day thereto, are the property of Gprop Systems, its subsidiaries or affiliated companies and/or 3rd party licenses. Gprop Systems reserves all rights not expressly granted in this EULA. You shall not acquire any right, title or interest to the Gprop Systems materials, whether by implication, estoppel, or otherwise, except for the limited rights set forth in this EULA.
    
    

YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND UNDERSTAND THE RIGHTS, OBLIGATIONS, TERMS, AND CONDITIONS IN THIS END-USER LICENSE AGREEMENT(EULA). BY CONTINUING TO INSTALL THE APPLICATION, YOU EXPRESSLY CONSENT TO BE BOUND BY ITS TERMS AND CONDITIONS.
